• Late payments may incur interest at 1.5% per month or the maximum rate allowed by law

• Travel and incidental expenses will be billed at cost with prior client approval

11. Termination

Either party may terminate a service engagement:

• For Convenience: With 30 days written notice. Client will pay for all work performed and expenses incurred through the termination date.
• For Cause: If the other party materially breaches these terms and fails to cure within 15 days of written notice.

Upon termination, each party shall return or destroy the other's confidential information and pay any outstanding fees.

12. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.

You agree to indemnify, defend, and hold harmless Xplore Sap India Pvt. Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or in any way connected with:
